Our services to companies, entrepreneurs and investors support the realisation of ideas, and the successful commercial exploitation of products and services based on know-how or intellectual property rights.

Our objectives

Our technology team provides advice and input to a wide range of technology-focused businesses, across sectors including information technology, internet, digital media, cleantech, biotechnology and other life sciences. Our approach is commercial and creative, yet pragmatic, delivered promptly and at a reasonable cost. Our technology team aims to exceed our clients’ expectations, whilst working with enthusiasm and commitment and this has enabled us to build longstanding relationships as trusted advisers to numerous clients in the tech sector.

Key services

Commercial / IP

We advise new and established companies on all aspects of the creation, protection and exploitation of their intellectual property rights, including licensing and partnering arrangements. We also provide input in relation to a variety of commercial agreements relating to the supply, purchase, use, sharing and/or outsourcing of services. Our key role is often to ensure that our clients’ valuable intellectual property or know-how rights are appropriately protected.

Our technology clients frequently call on our expertise in regulatory issues relating to communications and advertising. In addition, our data protection specialists regularly advise companies on privacy policies and compliance.

Our corporate lawyers work with established technology companies, advising on and facilitating the execution of business sales and purchases, and corporate restructurings. Some clients involve us in relation to discrete issues, others prefer us to act as project managers and to ensure that all strands of a transaction are successfully completed on schedule.

We act for fast-growing technology businesses seeking initial funding or further rounds of equity funding. Our understanding of the funding process, and the issues of key importance to venture capitalists, business angels and corporate venture funds, means that we can smooth the process for our entrepreneur clients and help them to achieve a successful fundraising as the basis for the next stage of development of the business. Similarly when it is time for investors and managers to seek either an exit or an IPO, our experience in this area means that we are able to bring not only legal know-how but the practical benefit of lessons learned to assist in achieving a successful process.

Similarly, we also act for venture funds and other investors in relation to their investment in technology businesses. We work with our investor clients to ensure that the key legal and commercial risks are identified during the investigation process, and that the transaction documentation process is completed as smoothly and efficiently as possible.

When disagreements arise, it is important for our clients to be able to call on trusted advisers to help resolve the issue as efficiently and effectively as possible. Our team of dispute resolution lawyers has worked with clients in the successful resolution of disputes relating to technology transfer, licensing and procurement, as well as disputes connected with trade marks, copyright and other intellectual property, and domain name disputes. Our approach is to help our clients to achieve the best outcome, preferably through negotiation but where necessary through litigation.

Technology-focused companies frequently have particular requirements in relation to the attraction and retention of talented individuals. Our employment team regularly assists clients in relation to the design and implementation of effective recruitment and incentive tools, as well as contracts for key employees and consultants, where the careful drafting of confidentiality clauses and restrictive covenants is vital. Highly skilled individuals also seek our input and advice in respect of proposed engagement packages, both in relation to legal protection and in order to understand what is standard in the market.
