Jane is a consultant at Goodman Derrick advising on business tax issues. She has 17 years experience in advising on a wide range of corporate transactions, employee incentive schemes, property transactions and general commercial matters.
She has advised a wide range of sectors on many different types of transaction. These include a management buy-out of a specialist holiday company. Following the implementation of various incentive arrangements she was then asked to structure their £27.5 million sale to Tui plc. She has also advised on the funding of many businesses and the taking into private ownership a fully listed company.
She has advised on a many different share and cash based employee incentive arrangements including establishing an employee benefit trust for an investment bank and advising on the ability to pay bonuses from various schemes into the trust, and advising a Swedish listed company, on the tax implications of various secondments to the UK.
In the property sector she has advised on the structuring of many joint ventures and in particular advised on the effective extraction of profits on a high profile high end residential London development. She has also advised an offshore landlord on the availability of contribution allowances on a refit to be carried out by an anchor tenant. She has assisted on numerous golden brick VAT arrangements to enable VAT recovery on the purchase of property to be developed into dwellings, as well as a variety of SDLT arrangements. She has also wide experience advising various developers on the purchase of a property in a corporate wrapper for subsequent development.
Jane recently devised and presented a seminar for Morgan Stanley on preparing a private company for sale. She wrote two chapters of the original edition of Tolleys on Purchase and Sale of a Private Company's shares.

After training as a barrister, Jane qualified as a chartered tax adviser and worked with KPMG in London. She has worked at two City law firms as a corporate tax partner.
Out of the Office
Jane is a season ticket holder for London Scottish Rugby Club and is also a member of the Tartan Army following the lows and occasional highs of the Scotland football team. She travels regularly to unusual destinations and while in the UK is a regular visitor to the theatre.
